Terms of Service

Summary (not a substitute for the full text): Use the API legally, keep your keys safe, pay for what you use, OTP auto-refunds are credits not cash, and we're governed by Nigerian law.

1. Acceptance of Terms

By accessing or using the VerifiedCore API, platform, dashboard, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to all of the Terms, do not access or use the Services. These Terms apply to all users, including free-tier, paid, and enterprise customers.

2. Description of Services

VerifiedCore provides OTP-as-a-Service infrastructure: virtual phone numbers, SMS/voice OTP delivery, eSIM data packages, a Health Score™ algorithm, and related developer tooling. Services are provided on a credit-based model.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will endeavour to provide at least 14 days' written notice for material changes to paid plans.

3. Accounts and API Keys

You are responsible for maintaining the confidentiality of your account credentials and API keys. You must immediately notify us at support@verifiedcore.com upon any actual or suspected unauthorised use of your account.

API keys must be stored server-side and must not be exposed in client-side code, public repositories, browser consoles, or mobile applications. VerifiedCore is not liable for charges arising from compromised keys that were improperly secured.

You must provide accurate registration information and keep it up to date. Accounts may not be transferred to third parties without prior written consent.

4. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services to:

  • Send unsolicited messages, spam, or bulk communications not initiated by end users.
  • Facilitate fraud, phishing, identity theft, or any other criminal activity.
  • Bypass or circumvent two-factor authentication systems on platforms you do not own or are not authorised to test.
  • Resell, sublicense, or white-label the Services without an Enterprise reseller agreement.
  • Conduct load testing, stress testing, or automated scraping that materially impacts platform performance without prior written approval.
  • Use the Services in any jurisdiction where it is illegal to do so, including OFAC-sanctioned countries.
  • Violate any applicable law, regulation, or third-party rights.

We reserve the right to suspend or terminate accounts engaged in prohibited activities without prior notice. In cases of fraud or illegal activity, we may disclose account information to law enforcement as required by law.

5. Credits, Billing, and Refunds

Services are purchased using pre-paid credits. Credits are non-transferable between accounts and expire 12 months after purchase unless otherwise stated on your plan.

The 90-second SLA auto-refund is a platform guarantee: if an OTP session is not delivered within 90 seconds, the session cost is automatically credited back to your wallet. This refund is issued as platform credits, not as a fiat currency refund.

All paid top-ups are non-refundable except where required by applicable consumer protection law or as expressly stated in an enterprise agreement. Disputed charges must be raised within 30 days of the transaction.

Prices are displayed in USD. Currency conversion for NGN, GHS, and other local payment methods is handled by our authorized payment partners and subject to prevailing exchange rates.

6. Service Level Agreement

VerifiedCore targets 99.9% monthly API uptime for paid plans, measured at the API Gateway. Uptime is calculated excluding scheduled maintenance windows (notified at least 24 hours in advance via status.verifiedcore.com) and events outside our reasonable control.

Enterprise customers may negotiate contractual SLA terms with financial remedies. Free-tier users are not covered by the uptime commitment.

The 90-second OTP delivery guarantee is a best-effort commercial commitment delivered through automated wallet credits. It does not constitute a contractual SLA unless specified in an enterprise agreement.

7. Intellectual Property

VerifiedCore and its licensors retain all right, title, and interest in the Services, including the Health Score™ algorithm, brand, documentation, and platform software. Nothing in these Terms grants you a licence to copy, modify, distribute, or create derivative works of the Services or any part thereof.

You retain ownership of any data you upload or generate through the Services. By using the Services, you grant VerifiedCore a limited licence to process that data solely to provide and improve the Services.

8. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you confirm you have read and understood the Privacy Policy.

When Privacy Mode is enabled (opt-in or automatically for EU IP addresses), OTP codes are never written to persistent storage. Session metadata required for billing and fraud prevention is retained as described in the Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free from viruses. Delivery of OTPs depends on third-party carrier partners whose availability we do not control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIFIEDCORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.

IN NO EVENT SHALL VERIFIEDCORE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID TO VERIFIEDCORE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) $100 USD.

11. Termination

Either party may terminate these Terms at any time. You may close your account through the dashboard Settings → Danger Zone. Unused credits are forfeited upon account deletion unless otherwise required by applicable law.

We may suspend or terminate your access immediately if you materially breach these Terms, engage in fraud or illegal activity, or if required by law. We will endeavour to give reasonable notice before termination for non-material breaches.

12. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Lagos, Nigeria under the Rules of the Lagos Court of Arbitration.

Nothing in this clause prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email or a prominent notice in the dashboard at least 14 days before the effective date. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
